1. Agreement to Terms
By submitting a proposal request, accepting an estimate, or signing a contract with Otentik Brand, you acknowledge and agree to these Terms & Conditions. These terms are legally binding and govern the relationship between Otentik Brand and our customers. If you do not agree to these terms, please refrain from using our services.
2. Proposal, Estimate, and Contract Agreement
Proposal and Estimate: Before any work begins, a detailed proposal and estimate will be provided to you outlining the products, pricing, and project scope. The estimate is valid for [Insert number] days, after which it may be revised.
Approval of Proposal: To move forward, you must approve the proposal and estimate in writing. This is done by signing the proposal or submitting written confirmation via email. By doing so, you acknowledge your acceptance of the details, pricing, and timeline as outlined.
Contract Agreement: Once the proposal is approved, a formal contract agreement will be provided. The contract outlines the full scope of the work, payment terms, delivery schedules, and other essential details. The agreement must be signed by both parties before moving into the production stages.
3. Proofing Stage
After the contract agreement is signed, we will move to the proofing stage. During this stage, we will create digital proofs of the products, including your logo and custom design. The proofs will be sent to you for approval.
Approval of Proofs: It is essential that you carefully review the proofs. Any revisions or changes must be communicated to us promptly. Once you approve the proofs in writing, we will proceed to the production phase. No work will be completed until proofs are officially approved.
4. Production and Delivery
Production Timeline: The production and delivery timeline will be clearly outlined in your contract agreement. Production will begin only after proof approval. Once proofs are approved, the production process will commence based on the agreed timeline.
Delivery: The delivery date is contingent on the completion of production. Delivery will occur after production is completed, and the order will be shipped or delivered as per the terms specified in the contract. Any delays in approval or production could affect the delivery schedule.
5. Payment Terms
For first-time customers, payment will be required in two parts:
- 50% Deposit: A 50% deposit is required upon approval of the proposal and signing of the contract, before production begins.
- 50% Balance: The remaining 50% is due upon completion of production, prior to delivery.
For repeat customers, Net 30 payment terms are available on subsequent orders. This means payment is due within 30 days from the date of invoice for your second and future orders.
Please note, if payment is not received within the agreed timeframe, a late fee may apply, and production or delivery may be delayed until the outstanding balance is cleared.
6. Cancellations and Refunds
Once the proposal is approved and the contract is signed, cancellations may not be possible. If you need to cancel an order, please notify us immediately. Refunds are not issued once production has begun, as the order is customized specifically for your business. If a cancellation occurs before production begins, we will work with you to offer a suitable solution.
7. Modifications to Orders
If you wish to make changes to your order after approval, including modifications to product designs or quantities, please notify us immediately. Modifications may affect pricing, production timelines, and delivery dates.
8. Quality Control and Customer Approval
We take great pride in the quality of our products. If there are any concerns about the quality or accuracy of the final products upon delivery, please notify us within [Insert number] days. 9. Intellectual Property
You retain the ownership of your logo, designs, and any intellectual property you provide. By submitting designs to Otentik Brand, you grant us permission to use these materials solely for the purpose of completing your order. You warrant that you have the necessary rights to use and distribute the intellectual property you provide.
10. Liability and Indemnification
Otentik Brand is not liable for any damages or losses incurred as a result of delays in production, shipping, or any other issues beyond our control, including but not limited to acts of nature, shipping delays, or third-party errors.
You agree to indemnify, defend, and hold harmless Otentik Brand, its employees, and agents from any and all claims, damages, or expenses arising from the use or distribution of the promotional products.
11. Privacy and Confidentiality
We respect your privacy. Any personal information provided to Otentik Brand, including logos and company details, will be used solely for the purpose of completing your order. For more information on how we protect your data, please refer to our Privacy Policy.
12. Changes to Terms & Conditions
Otentik Brand reserves the right to update or modify these Terms & Conditions at any time. Changes will be posted on this page, and the updated date will be indicated at the top. It is your responsibility to review these terms periodically.
